What is a ready-made company and who buys one?

A ready-made company is a legal entity (LLC or private enterprise) already registered in the Ukrainian state register, with an EDRPOU code and a registration date. Buyers take one to start operating immediately: to enter a tender, apply for a licence, or use an existing VAT payer status.

How long does registering a change of owner and director take?

The state registrar reviews the submitted documents within 24 hours of their arrival, excluding weekends and public holidays — this is set by Article 26 of Ukrainian Law No. 755-IV. The whole deal runs longer: preparing the decision, the notary visit and paying the administrative fee all come first.

Which documents change the list of LLC participants?

Article 17 of Law No. 755-IV requires an application for state registration of changes, proof of payment of the administrative fee, an ownership structure statement, and one of the following: a resolution of the general meeting or of the sole participant, a resolution excluding a participant, an application to join, an application to withdraw, a share transfer act, or a court decision. The list for a particular company comes from the manager.

What does registering the changes cost and where is a notary required?

The administrative fee for state registration of changes to company details is 0.3 of the subsistence minimum for able-bodied persons, reduced to 75 % of that amount when documents are filed electronically (Article 36 of Law No. 755-IV). The subsistence minimum is set each year by the state budget law. Signatures on the resolution of the governing body are certified by a notary on special forms; resolutions signed with a qualified electronic signature are the exception (Article 15 of Law No. 755-IV).

How do you check a ready-made company before the deal?

Details of a legal entity, its director, participants, ultimate beneficial owners and status are held in the Unified State Register. VAT payer status is checked in the State Tax Service electronic cabinet at cabinet.tax.gov.ua. A Business Market manager reconciles the company data with the register before the deal.
